All orders placed through our Site are subject to acceptance by Giordanos. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to situations involving pricing errors, product unavailability, or suspected fraudulent activity.

Prices listed on our Site are in U.S. dollars and are subject to change without notice. We make every effort to ensure that pricing displayed on the Site is accurate; however, in the event of a pricing error, we reserve the right to cancel your order and provide a full refund. Applicable sales taxes and delivery fees will be calculated and displayed at the time of checkout.

Food availability is subject to change based on ingredient availability, seasonal offerings, and operational capacity. We cannot guarantee that all menu items will be available at all times. In the event that an item you ordered is unavailable, we will contact you using the information provided in your account to offer a substitute or process a refund.

Delivery times provided at the time of ordering are estimates only and are not guaranteed. Delivery times may be affected by weather conditions, traffic, order volume, and other factors beyond our control. We are not liable for delays in delivery.

6. Payment Terms

Payment for all orders placed through our Site must be made at the time of ordering using one of the accepted payment methods displayed on the Site, which may include major credit cards, debit cards, digital wallets, and other payment methods as offered from time to time.

The Giordanos name, logo, and all related marks, designs, and slogans are trademarks or registered trademarks of Giordanos in the United States and/or other jurisdictions. You may not use such marks without the prior written permission of Giordanos. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for personal, non-commercial purposes in connection with using our Services. This license does not include the right to:

You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights. • WARRANTIES RELATED TO THE QUALITY, SAFETY, OR SUITABILITY OF ANY FOOD PRODUCTS BEYOND THOSE REQUIRED BY APPLICABLE LAW.

We do not warrant that our food products are free from allergens beyond what is disclosed on our menu or Site. It is your responsibility to inform us of any food allergies or dietary restrictions prior to placing an order. While we take reasonable precautions to prevent cross-contamination, we cannot guarantee that any menu item is completely free from specific allergens.

The FTC Act and applicable consumer protection laws of the United States govern certain aspects of our dealings with consumers. Nothing in these Terms shall be construed to limit any rights you may have under applicable federal or state consumer protection laws.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIORDANOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SITE OR SERVICES.
• DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN.
• DAMAGES ARISING FROM ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE CONTENT OF THE SITE.

EVEN IF GIORDANOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO GIORDANOS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Giordanos, its officers, directors, employees, contractors, agents, licensors, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Site and Services.
• Your violation of any provision of these Terms.
• Your violation of any applicable federal, state, or local law, regulation, or third-party right, including any intellectual property rights, privacy rights, or consumer protection laws.
• Any User Content you submit, post, or transmit through the Site.

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Giordanos is principally located, without regard to its conflict of law provisions.

To the extent that any claim or dispute is not subject to arbitration as set forth in Section 14, you agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the United States for the resolution of any disputes arising from or relating to these Terms or your use of the Services. You hereby waive any objection to such courts on the grounds of venue, inconvenient forum, or otherwise.

Giordanos operates in compliance with applicable federal laws, including the Federal Trade Commission Act (15 U.S.C. § 45), which prohibits unfair or deceptive acts or practices in commerce, and all applicable federal food safety regulations enforced by the U.S. Food and Drug Administration and the U.S. Department of Agriculture.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally by contacting you within thirty (30) days of receipt of your notice. If the dispute is not resolved within sixty (60) days of the initial notice, either party may proceed to formal dispute resolution as set forth below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court and as otherwise provided in these Terms, you and Giordanos agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes"), shall be resolved by binding arbitration, rather than in court.

The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable.

The arbitration will be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND GIORDANOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Giordanos agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

15. Term and Termination

These Terms shall remain in full force and effect while you use the Site or Services. We may, at our sole discretion, at any time and for any reason, suspend or terminate your account and your right to use the Services, without prior notice or liability, including for:

• Any violation of these Terms or our other policies.
• Fraudulent, abusive, or otherwise illegal activity.
• Behavior that is harmful to other users, third parties, or the interests of Giordanos.
• Extended periods of account inactivity.
• Operational or business reasons, including discontinuation of the Services.

Upon termination, your right to use the Services will immediately cease. If your account is terminated for cause, you may not register for a new account without our prior written permission. Termination of your account shall not affect any rights or obligations that arose prior to such termination.

16. Changes to These Terms

We reserve the right to modify, update, or replace these Terms of Service at any time at our sole discretion. When we make changes to these Terms, we will:

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Giordanos with respect to your use of the Site and Services, and supersede all prior or contemporaneous communications, proposals, representations, and agreements, whether oral or written, between you and Giordanos with respect to the Services.

Giordanos shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor strikes, power outages, internet service interruptions, acts of terrorism, supply chain disruptions, or any other event beyond our reasonable control (collectively, "Force Majeure Events").

In the event of a Force Majeure Event, we will use commercially reasonable efforts to resume normal operations as soon as reasonably practicable and will notify affected customers as appropriate.
